LanzaTech Backs New LanzaJet Financing as Freedom Pines Moves Toward Commercial Growth
LanzaTech Global, Inc. (NASDAQ: LNZA), a carbon recycling company that converts waste carbon into fuels and chemicals, is backing a new round of financing for its sustainable aviation fuel affiliate LanzaJet. LanzaJet announced on October 15, 2026 fully committed financing of at least $20 million to support its next phase of growth and operations at Freedom Pines Fuels in Soperton, Georgia.
A Recapitalization With LanzaTech at the Center
According to the release, the financing is supported by LanzaTech, Vinod Khosla and the LanzaJet Board, and is part of a broader recapitalization and deleveraging of LanzaJet by its shareholders and existing investors. The first close occurred on October 14, and the financing is expected to close in full by December 2026. The release did not specify whether the funding takes the form of debt or equity.
As part of the transaction, LanzaTech will significantly increase its ownership of LanzaJet. Jennifer Holmgren, Chief Executive Officer of LanzaTech, will remain Chair of the LanzaJet Board and has taken on the role of interim CEO of LanzaJet.
“LanzaTech has taken first-of-a-kind technology to profitable commercial operation,” said Holmgren. “With a larger ownership stake and the Board’s full support, we look forward to bringing Freedom Pines Fuels and future LanzaJet plants to the same commercial success.”
Inside Freedom Pines Fuels
LanzaJet describes Freedom Pines Fuels as the world’s first commercial-scale alcohol-to-jet production facility, with production capacity of 10 million gallons per year. The plant has already produced sustainable aviation fuel and renewable diesel that meet ASTM specifications. LanzaJet first announced ASTM on-spec jet fuel from the site in November 2025.
For feedstock, LanzaJet plans to draw on established ethanol supply from markets such as Brazil and the United States, harder-to-access waste-carbon resources through LanzaTech’s gas fermentation technology, and qualifying low-carbon and waste-based feedstocks for mandated markets, including the UK and European Union. LanzaTech began developing the alcohol-to-jet technology in 2012 with the U.S. Department of Energy’s Pacific Northwest National Laboratory.
The new capital arrives alongside existing project debt. A LanzaJet subsidiary issued approximately $113.5 million of 6.00% Senior Secured Notes due 2043 to finance the plant, and a February 2026 amendment deferred principal payments and permits up to $25 million in debt to rank senior to those notes.
What It Means for LanzaTech
LanzaTech launched and spun off LanzaJet in 2020 and held 53.16% of LanzaJet’s common stock as of December 31, 2025. That stake fell to about 45.6% on a fully diluted basis after a Series A transaction in February 2026. LanzaTech accounts for LanzaJet under the equity method, and carried the investment at $0 as of June 30, 2026, after purchasing $3.0 million of LanzaJet Series A Preferred Stock during the second quarter.
In the second quarter of 2026, LanzaTech reported revenue of $9.0 million and net income of $184.3 million, driven mainly by a $208.1 million non-cash fair value gain on its investment in Shougang LanzaTech. Adjusted EBITDA was a loss of $7.6 million. LanzaTech held $48.9 million in cash, cash equivalents and restricted cash at quarter end, and said it projects it will be able to cover its liquidity needs for the next twelve months. It guided to full-year 2026 revenue of $50 million to $55 million.
